It operates as a 501(c)(3) non-profit corporation under statutes in the state of New York, and is a membership organization.

USITT is governed through an executive structure composed of volunteer members who are elected to office on a rotating basis, following the procedures established in the By-Laws (PDF). It also maintains a national office where full time staff members conduct the day to day operations of the Institute and maintain official records. USITT also utilizes the services of independent contractors, as needed and appropriate. Contract services include the editor and art director of TD&T as well as the Stage Expo Sales Manager.

Together the Executive Committee, also known as officers, and Directors at Large form a Board of Directors. The officers are comprised of a President, Secretary, Treasurer, seven Vice-Presidents, an Immediate Past President, and in alternate years, a President-Elect. All officers serve two-year terms, with the exception of the President-Elect who serves a one-year term. There are 18 Directors at Large who serve three-year terms; one third are elected each year. A PDF of the Board Manual is available here.
